Terms & Conditions

The agreement between you and MedOps for using the Service.

These Terms & Conditions (“Terms”) govern your access to and use of the MedOps website and Hospital Management System (the “Service”). By creating an account, signing in, or using the Service, you agree to these Terms on behalf of yourself and the organisation you represent.

Template notice. This is a comprehensive starting point for the MedOps product. It is not legal advice. Have counsel adapt it to your jurisdiction and commercial terms before relying on it.

1. Agreement to terms

If you do not agree to these Terms, do not use the Service. If you are entering into these Terms on behalf of a hospital or organisation (a “Tenant”), you represent that you are authorised to bind that organisation, and “you” refers to that organisation.

2. Definitions

  • Tenant — the hospital administration organisation that holds a MedOps account and owns one or more Hospitals.
  • Hospital — a facility (and its branches and departments) managed within a Tenant.
  • User — an individual authorised to access the Service under a role such as Tenant Admin, Doctor, Operations, Nurse, Staff or Pharmacy.
  • Customer Data — all data you or your Users submit to the Service, including patient and clinical records.

3. Accounts & eligibility

  • You must provide accurate information and keep it up to date.
  • You are responsible for your Users and for all activity under your account.
  • You must keep credentials confidential and notify us promptly of any unauthorised access.
  • The Service is intended for professional use by hospital staff and administrators.

4. Subscriptions & billing

The Service is offered under subscription plans (for example Starter, Growth and Enterprise). Plan features and any prices shown on the website are illustrative and may change. Unless otherwise agreed in an order form:

  • Fees are billed in advance on the cadence you select (monthly or annually) and are non-refundable except where required by law;
  • Plans renew automatically for the same term unless cancelled before the renewal date;
  • We may suspend the Service for non-payment after reasonable notice;
  • Taxes are your responsibility unless stated otherwise.

5. Acceptable use

You agree not to, and not to permit any User to:

  • Use the Service unlawfully or in breach of any applicable healthcare, privacy or data-protection regulation;
  • Upload malicious code, attempt to breach security, or probe, scan or test the vulnerability of the Service without authorisation;
  • Reverse engineer, resell, or provide the Service to third parties except as expressly permitted;
  • Access data you are not authorised to access, or circumvent role-based access controls;
  • Interfere with or disrupt the integrity or performance of the Service.

6. Customer data & responsibilities

As between the parties, you own your Customer Data. You grant us a limited licence to host and process it solely to provide and support the Service. You are responsible for:

  • The accuracy, quality and legality of Customer Data;
  • Obtaining all consents and establishing the lawful basis required to collect and process patient data, including any PHI;
  • Configuring roles and permissions appropriately for your organisation.

Our handling of personal data is described in our Privacy Policy, and a Data Processing Agreement is available to customers on request.

7. Availability & support

We strive for high availability and publish a target of 99.9% uptime, but the Service is provided on an “as available” basis and we do not guarantee uninterrupted operation. Planned maintenance, updates and factors beyond our reasonable control may affect availability. Support levels vary by plan.

8. Intellectual property

The Service, including its software, design, and trademarks, is and remains the property of MedOps and its licensors. These Terms do not grant you any rights in the Service except the limited right to use it in accordance with your subscription. Feedback you provide may be used by us without restriction.

9. Warranties & disclaimers

Except as expressly stated, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. MedOps is a management tool and does not provide medical advice; clinical decisions remain the sole responsibility of qualified professionals.

10. Limitation of liability

To the maximum extent permitted by law, MedOps will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.

11. Term & termination

  • These Terms apply while you use the Service.
  • You may stop using the Service and cancel your subscription at any time, effective at the end of the current term.
  • We may suspend or terminate access for material breach, unlawful use, or non-payment.
  • On termination, your right to use the Service ends; you may request export or deletion of your tenant's data within a reasonable period.

12. Governing law & contact

These Terms are governed by the laws of the jurisdiction in which MedOps is established, without regard to conflict-of-laws rules. We may update these Terms from time to time; continued use after changes constitutes acceptance. Questions? Contact legal@medops.in.
